1. Acceptance of these Terms
These Terms and Conditions ("Terms") apply to your use of the RUENGINE website (the "Site") and the RUENGINE platform and services (together, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service. These Terms apply to all users, including businesses, their staff and their customers who use the Service.
2. Who we are
The Service is provided by [PLACEHOLDER: legal company name, e.g. RUENGINE Inc.] ("RUENGINE", "we", "us" or "our"). Our mailing address is [PLACEHOLDER: mailing address].
3. Our services
RUENGINE provides a CRM and business operations platform, including lead management, quotes and invoicing, payments, point of sale, scheduling, HR and team tools, messaging, marketing and reporting. Each client runs on its own dedicated instance. Optional services include inventory, the business email and workspace suite, mobile apps and Rue AI, our AI voice assistant.
We may update, improve or change features from time to time. Where a change materially reduces a feature you rely on, we will give you reasonable notice.
4. Proposals and Client Agreements
Content on the Site, including descriptions, examples, package names and the calculator, is general information. It is not an offer, a quote or a guarantee of results. Calculator figures are estimates based on the inputs you enter.
Any licence, setup, data migration, training, hosting, maintenance, support or other work is set out in a written proposal and agreed in a separate written agreement between you and RUENGINE (a "Client Agreement"). If anything in these Terms conflicts with your Client Agreement, the Client Agreement governs.
5. Accounts and access
To use the Service, you and your staff will have user accounts. You agree to:
- provide accurate, complete and current information;
- keep login details secure and confidential, and not share accounts;
- set access for your staff by role, and remove access when someone leaves;
- accept responsibility for all activity under your accounts; and
- tell us promptly if you suspect unauthorised use of your account.
We may suspend accounts that put the Service, other clients or your data at risk, as described in section 17.
6. Fees and payment
Fees are set out in your proposal and Client Agreement. Unless your Client Agreement says otherwise:
- the software licence is a one-time fee;
- hosting, maintenance and support are charged separately on a recurring basis;
- add-ons and usage-based services, such as Rue AI usage, messaging and extra storage, are charged as set out in your proposal;
- you are responsible for applicable taxes and for third-party charges; and
- fees already paid are non-refundable, except where required by law or stated in your Client Agreement.
We will give you at least 30 days' notice of any change to recurring fees.
7. Your software licence
Once the licence fee is paid, you receive a lifetime, non-exclusive, non-transferable licence to use RUENGINE for your internal business purposes, with unlimited users, as set out in your Client Agreement. The licence does not transfer ownership of the source code. You may not copy, modify, resell, sublicense, rent or lease the software, or use it to build a competing product.
8. Hosting, maintenance and support
We host and maintain your RUENGINE instance. Before launch, your written service plan explains what we manage, the support you receive, how your data is backed up and how it can be restored. Storage is shared across your whole organisation rather than allocated per user. The amount included, and the cost of additional storage, is set out in your Client Agreement.
9. Add-ons and usage-based services
Rue AI uses artificial intelligence to answer calls and messages, book appointments and follow up leads. AI responses can be incomplete or incorrect. You are responsible for reviewing how Rue AI is set up for your business and for its output before relying on it. Your proposal lists the channels and hours Rue AI covers.
Add-ons may rely on third-party providers, such as telephone, messaging and payment networks. Their availability can depend on those providers.
10. Your data
You own the business data and content you put into the Service ("Your Data"). You grant us a limited right to host, process, back up and transmit Your Data only to provide the Service to you and as described in our Privacy Policy. You are responsible for having the right to collect and use Your Data, including your customers' contact details, and for complying with laws that apply to how you use it, such as consent rules for marketing messages.
If you leave, your service terms explain which records and files you can export, the formats available, timing, any costs, and how Your Data is deleted afterwards.
11. Acceptable use
You agree not to use the Service to:
- break any applicable law or regulation, or infringe anyone's rights;
- send spam or unsolicited messages, or messages without the consent the law requires;
- upload or transmit malware or other harmful code;
- attempt to gain unauthorised access to the Service, other clients' instances or our systems;
- reverse engineer, decompile or disassemble the Service, except where the law allows it;
- overload, disrupt or interfere with the Service; or
- use the Service for any fraudulent or harmful purpose.
12. Intellectual property
The Service and the Site, including the software, design, text, graphics, logos and interfaces, belong to RUENGINE or its licensors and are protected by intellectual property laws. Apart from the licence in section 7, no rights are transferred to you. You may view and print pages of the Site for your own reference.
13. Third-party services
The Service can connect to third-party tools you choose to use, such as accounting, payment, calling, messaging, online store and advertising services. Your use of those tools is governed by their own terms. We are not responsible for third-party services or for changes they make that affect a connection.
14. Privacy
Our Privacy Policy explains how we handle personal information and cookies. It forms part of these Terms.
15. Disclaimers
To the fullest extent permitted by law, the Site and the Service are provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not promise that the Service will be uninterrupted, error-free or free of harmful components. Any service levels we commit to are set out in your Client Agreement. Nothing in these Terms limits rights you have under consumer protection laws that cannot be limited.
16. Limitation of liability
To the fullest extent permitted by law, RUENGINE will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of, or inability to use, the Site or the Service.
Our total liability for any claim arising from these Terms or the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the claim, unless your Client Agreement says otherwise.
17. Suspension and termination
We may suspend or end access to the Service if you seriously or repeatedly breach these Terms or your Client Agreement, if fees remain unpaid after notice, or where needed to protect the Service, other clients or your data. Where it is reasonable to do so, we will give you notice and a chance to fix the issue first. On termination, the data export and deletion terms in your service terms apply.
18. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date, and we will tell clients about material changes. Continuing to use the Service after changes take effect means you accept the updated Terms.
19. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law principles. Any dispute will be resolved in the courts of the Province of Ontario, unless your Client Agreement says otherwise.
20. Contact us
Questions about these Terms can be sent to [PLACEHOLDER: contact email], through Contact the team, or by mail to [PLACEHOLDER: legal company name], [PLACEHOLDER: mailing address].
